1. Agreement to Terms

By accessing and using TheDailies ("Service"), you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Service

TheDailies provides a cloud-based platform for film and video production teams to upload, review, and collaborate on daily footage ("dailies"). The Service includes video streaming, annotation tools, user management, and related features.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete information
  • Keeping your account information updated

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload, post, or share any content that is illegal, harmful, or violates third-party rights
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to distribute spam, malware, or other harmful content
  • Violate any applicable laws or regulations

5. Content and Intellectual Property

You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

The Service itself, including its design, functionality, and underlying technology, is owned by us and protected by intellectual property laws.

6. Privacy and Data Protection

Your privacy is important to us. We collect and use your information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

7. Payment and Billing

If you subscribe to a paid plan:

  • Fees are charged in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We may change our prices with reasonable notice
  • You authorize us to charge your payment method for all applicable fees

8. Service Availability

We strive to maintain high availability of the Service but cannot guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.

9. Termination

Either party may terminate your account at any time. Upon termination:

  • Your access to the Service will cease immediately
  • We may delete your account and all associated content
  • Provisions regarding intellectual property, limitations of liability, and dispute resolution survive termination

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands. Any disputes will be resolved through binding arbitration in Amsterdam, Netherlands.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service constitutes acceptance of the updated Terms.
